Owned by Rio Tinto and located in the KwaZulu Natal province, Richards Bay Minerals (RBM) is an internationally recognized sand mining and mineral processing operations leader and is one of the world's foremost producers of titanium minerals, high purity pig iron and zircon.
Employing some 2 000 permanent staff and a number of well-established contracting companies, RBM is proud of the accreditation for ISO 9001 for quality, OHSAS 18001 certification for occupational health and safety management, and ISO 14001 accreditation for environmental management. MAIN PURPOSE OF THE JOB
Reporting to the Chief Financial Officer, as the Manager: Legal and Admin, you will manage the legal, company secretarial and administrative functions of RBM to ensure that the company’s legal rights are protected, assets are adequately insured, mining rights are maintained, internal controls are effective, compliance with legislation, and shareholder policies and standards are achieved. In addition, you will be required to provide a company secretarial service to the directors of the company.
JOB OBJECTIVES:
· Ensure compliance to all Environment, Health, Safety and Quality standards, practices, policies and legislation
· Ensure effective operational management, service delivery and people management within area of responsibility
· Supervise and control the activities, standards of performance and behavior as well as the training and development of designated subordinate staff
· Ensure compliance to all relevant statutory legislation
· Prepare and control the section’s annual budget by forecasting operating costs and monitoring expenditure on a monthly basis
· Serve as an Advisor to the Board and other relevant internal stakeholders on company secretary matters as well as compliance and statutory regulations, corporategovernance, risk management, etc.
· Provide a company secretary service
· Manage the submission of statutory returns, renewals, reports and payments in compliance with the Companies Act, mining legislation and mining lease obligations
· Manage all RBM litigation processes, either internally, or through the use of an external service provider
· Oversee the management of the Employee Share Participation Scheme
· Manage the company Retirement, Provident and Disability Funds
· Ensure timely, effective and accurate communication to employees regarding benefit funds
· Manage fund administrators and review service level agreements
· Monitor and ensure company compliance to all risk management processes
· Manage the internal control function and coordinate the administration of the RBM Audit Forum, ensuring compliance to Rio Tinto standards
· Strong, strategic relationships with key stakeholders (both internal and external)
· Accurate and timely processing and reporting
· Well managed budgets
· Compliance to all relevant statutory legislation
· Well managed Retirement, Provident and Disability Funds as well as the Employee Share Participation Scheme
MINIMUM REQUIREMENTS:
· CIS / LLB or Corporate Governance qualification, e.g. CA (SA)
· 3-5 years’ relevant experience
· Drivers License: EB (Code 08)
· Chartered Company Secretary- ACIS would be an advantage
· Experience in Company Secretarial practice as well as insurance and risk management would be an advantage
